Welcome to Khaled Digital Solutions. These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of our website (www.khaleddigital.com), our client portal (crm.khaleddigital.com), and the professional digital services provided by Khaled Digital Solutions.

By accessing our website, purchasing our services, or signing an official Statement of Work (SOW) or invoice, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. About the Agency
Khaled Digital Solutions is a legally registered digital marketing and technology agency headquartered in Dhaka, Bangladesh (Business License No: TRAD/DNCC/015595/2026). We provide enterprise-grade digital solutions to businesses across Saudi Arabia, the GCC, and global markets.

2. Scope of Services
We provide specialized digital solutions, including but not limited to:
• Paid Media Management: Google Ads (Search, Display, Shopping, Performance Max, YouTube) and Meta Ads (Facebook & Instagram campaigns).
• Search Engine Optimization (SEO): Technical SEO audits, on-page optimization, content strategies, and organic ranking development.
• Local Search Domination: Google Business Profile (GBP) listing, verification support, and local map optimization.
• Web Design & Development: Custom, responsive, and conversion-focused websites developed primarily on WordPress and modern CMS frameworks.
• Creative & Visual Solutions: Professional graphics design, corporate branding, social media ad creatives, and digital marketing collaterals.
• Growth Consulting: Strategic multi-channel marketing audits and consulting.

Detailed deliverables, project milestones, timelines, and costs for each engagement are outlined in individual service proposals, official invoices, or written service agreements.

3. Client Responsibilities & Collaboration
To ensure successful project execution, clients agree to:
• Provide accurate, timely, and complete business information, assets, brand materials, and access credentials necessary for project commencement.
• Grant required administrative access to advertising accounts (e.g., Google Ads, Meta Business Manager), hosting servers, or analytics properties.
• Review, approve, or provide constructive feedback on deliverables, ad copies, or design mockups in a timely manner.
• Ensure that all materials, images, text, and trademarks supplied to us for use do not infringe on any third-party intellectual property rights.

4. Advertising Spend & Third-Party Platforms
• Direct Ad Spend: All media spend and advertising budgets paid to third-party ad networks (such as Google Ads, Meta Ads, TikTok, or LinkedIn) are funded directly by the client and are completely separate from our professional management/setup fees.
• Platform Policy & Algorithm Changes: Third-party advertising networks operate under their own independent policies and proprietary auction algorithms. While we adhere strictly to official platform guidelines and industry best practices, Khaled Digital Solutions cannot be held liable for third-party platform policy shifts, account suspensions caused by client business practices, or algorithmic auction fluctuations.

5. Invoicing, Payments & Billing Terms
• Invoicing: Official digital invoices are issued via our automated client portal (crm.khaleddigital.com) or official email for all project milestones and retainer fees.
• Payment Gateways: Payments are securely processed via certified, PCI-DSS compliant third-party payment providers (including Payoneer and major debit/credit cards) or direct corporate bank transfers. We do not store or handle credit/debit card numbers or security codes (CVV) on our servers.
• Retainer Services: Monthly management retainers (such as ongoing Google Ads management or SEO) must be paid in advance before the commencement of each billing period.
• Late Payments: We reserve the right to pause ongoing campaigns, withhold final website file deployments, or temporarily suspend services if invoices remain overdue beyond the agreed grace period.

6. Intellectual Property & Asset Ownership
• Client Ownership: Upon full payment of all corresponding invoices, the client retains 100% full ownership of final approved digital assets, custom website design deliverables, and their advertising accounts.
• Proprietary Frameworks: Khaled Digital Solutions retains the intellectual property rights to its proprietary operational methodologies, internal templates, proprietary tracking scripts, software tools, and unselected design drafts developed during the process.
• Portfolio Rights: Unless governed by a formal Non-Disclosure Agreement (NDA), Khaled Digital Solutions reserves the right to display completed public works, project case studies, and aggregated performance metrics in our professional portfolio.

7. Service Performance & Warranties
• Professional Standard: We deliver our services with the highest degree of professional care, technical diligence, and ethical standards.
• No Guarantees on Uncontrollable Variables: Due to the dynamic nature of search engine algorithms, competitive commercial bidding, and consumer behavior, we do not guarantee specific organic ranking positions (e.g., “Number 1 on Google”) or precise financial sales targets. Any historical performance figures or estimates shared are indicative benchmarks and not binding guarantees.

8. Limitation of Liability
To the maximum extent permitted by applicable law:
• Khaled Digital Solutions, its founder, employees, or contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, commercial revenue, data, or business opportunities arising from the use or inability to use our services or website.
• Our total aggregate liability for any claim arising out of or related to this Agreement or our services shall not exceed the total management fees actually paid by the client to Khaled Digital Solutions for the specific service in question during the one (1) month immediately preceding the event.

9. Cancellation & Refund Policy
• Service Cancellations: For ongoing retainer agreements, clients may terminate services by providing a minimum of 15 days’ written notice prior to the next billing cycle.
• Refunds: Because our digital and advisory services involve dedicated labor, immediate operational resource allocations, and custom execution, our refund parameters are governed strictly by our official Refund Policy (available at www.khaleddigital.com/refund-policy).

10. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any legal dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh, while adhering to standard international digital commerce norms.
